Welcome to Puppy Harbor. In these Terms, "we," "us," and "our" mean Puppy Harbor. We operate this website and online store, together with all related content, features, tools, products, and services (collectively, the "Services"), to give you, our customer, a curated shopping experience. Our store is powered by Shopify, which makes it possible for us to deliver the Services to you.

These Terms of Service (the "Terms"), together with any policies referenced in them, set out your rights and responsibilities when you use the Services. Please read them carefully. They contain important information about your legal rights, including warranty disclaimers and limitations of liability.

By visiting, interacting with, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not access or use the Services.

1. Access and Accounts

By agreeing to these Terms, you confirm that you are at least the age of majority in your state, province, or country of residence. If you allow a minor dependent to use the Services on a device you own, purchase, or manage, you are giving us your consent for that use.

To browse, shop, or otherwise use the Services, you may be asked to provide information such as your email address and your billing, payment, and shipping details. You confirm that all information you give us is accurate, current, and complete, and that you have the right to provide it.

You are responsible for keeping your account credentials secure and for all activity that takes place under your account. You may not transfer, sell, assign, or license your account to anyone else.

2. Our Products

We do our best to present our products and services accurately. However, colors and product appearance can vary depending on the device and settings you use to view the store. We cannot guarantee that the appearance or quality of any product will match what you see on your screen or meet your expectations.

Product descriptions may change at any time without notice. We may discontinue any product at any time and may limit the quantities we sell to any person, region, or jurisdiction on a case-by-case basis.

3. Orders

When you place an order, you are making an offer to buy. We may accept or decline any order at our discretion, and your order is not accepted until we confirm it. We must receive and process your payment before an order is accepted. Please review your order carefully before submitting it, as we may not be able to cancel an order once it has been accepted.

If we decline, change, or cancel an order, we will try to notify you using the email address, billing address, or phone number you provided when ordering.

Returns and exchanges are handled solely under our Refund Policy.

You confirm that your purchases are for your own personal or household use and not for commercial resale or export.

4. Prices and Billing

Prices, discounts, and promotions may change without notice. The price you pay is the price in effect when you place your order, as shown in your order confirmation email. Unless stated otherwise, listed prices do not include taxes, shipping, handling, customs, or import charges.

Prices in our online store may differ from prices in physical stores or in stores run by third parties. From time to time we may run promotions with their own terms and conditions. If those terms conflict with these Terms, the promotion terms apply.

You agree to provide accurate and complete purchase, payment, and account information, and to keep it up to date (including your email address and card details) so that we can complete your transactions and reach you if needed.

You confirm that (i) the payment card information you provide is true, correct, and complete; (ii) you are authorized to use that card; (iii) your card issuer will honor the charges; and (iv) you will pay all charges at the posted prices, including shipping, handling, and any applicable taxes.

5. Shipping and Delivery

All delivery times are estimates and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, or events outside our control. Once we hand your order to the carrier, title and risk of loss pass to you.

6. Intellectual Property

Everything that makes up the Services, including trademarks, brands, text, images, graphics, product reviews, video, audio, and the way it is all designed, selected, and arranged, is owned by Puppy Harbor, its affiliates, or its licensors and is protected by U.S. and international intellectual property laws.

These Terms allow you to use the Services for personal, non-commercial purposes only. You may not reproduce, distribute, modify, create derivative works from, publicly display or perform, republish, download, store, or transmit any material from the Services without our prior written consent. Nothing in these Terms grants you any license or right under any patent, trademark, copyright, or other intellectual property belonging to Puppy Harbor, Shopify, or any third party. Unauthorized use may violate federal and state intellectual property laws. All rights not expressly granted are reserved.

Puppy Harbor's names, logos, product and service names, designs, and slogans are trademarks of Puppy Harbor or its affiliates or licensors and may not be used without our prior written permission. Shopify's name, logo, and related marks are trademarks of Shopify. All other marks on the Services belong to their respective owners.

7. Optional Tools

We may give you access to third-party tools as part of the Services. We do not monitor or control these tools, and we provide access to them "as is" and "as available," with no warranties or endorsement of any kind. We are not liable for anything arising from your use of them. Any use of these tools is at your own risk, and you should review and accept the relevant third-party provider's terms before using them.

We may also add new features, tools, or resources to the Services in the future. These will be treated as part of the Services and covered by these Terms.

8. Third-Party Links

The Services may include links to third-party websites or embedded third-party functionality. We are not responsible for reviewing or evaluating the content or accuracy of any third-party material or site. If you leave the Services to visit a third-party site, you do so at your own risk.

We are not liable for any harm or damages related to your use of third-party sites or your purchase or use of any third-party products, services, or content. Please review the third party's policies before doing business with them, and direct any complaints, claims, or questions about their products or services to them.

9. Relationship with Shopify

Puppy Harbor is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Puppy Harbor. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Puppy Harbor, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Puppy Harbor.

10. Privacy

All personal information we collect through the Services is governed by our Privacy Policy. Some personal information may also be subject to Shopify's Privacy Policy. By using the Services, you acknowledge that you have read both.

Because Shopify hosts the Services, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve them. Information you submit will be transmitted to and shared with Shopify and with third parties, some of which may be located outside your country, so that services can be provided to you. We may, but are not required to, monitor, edit, or remove Feedback that we consider unlawful, offensive, threatening, defamatory, obscene, or otherwise objectionable, or that infringes anyone's intellectual property or violates these Terms.

Your Feedback must not violate any third party's rights, including copyright, trademark, privacy, or publicity rights. It must not be defamatory, unlawful, abusive, or obscene, and must not contain viruses or other malware. You may not use a false email address, impersonate anyone, or otherwise mislead us or others about the origin of your Feedback. You are solely responsible for your Feedback and its accuracy; we accept no liability for Feedback posted by you or anyone else.

12. Errors, Inaccuracies, and Omissions

The Services may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times, or availability. • upload or transmit viruses or any other malicious code that could affect the operation of the Services;
• reproduce, duplicate, copy, extract, sell, resell, or exploit any part of the Services;
• collect or track other people's personal information;
• spam, phish, pharm, or pretext the Services;
• use any robot, spider, scraper, data-gathering or extraction tool, automated device or process, AI tool (including agentic AI), or other automated or manual means to access the Services; or
• interfere with, bypass, or circumvent the security or authorization features, robot exclusion headers, or other measures we use to restrict access to the Services.

We may suspend, disable, or terminate your account at any time, without notice, if we determine that you have violated any part of these Terms.

14. Agents

14.1 This section (the "Agent Terms") applies if you use, allow, enable, or cause the deployment of an Agent to access, use, or interact with any part of the Services. An "Agent" is any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or entity and that can run on or using a person's device without direct supervision.

14.2 No Agent may access, use, or interact with the Services unless it identifies itself at all times and operates in strict accordance with Section 14.4. No Agent may access, use, or interact with the Services if we have asked it to stop.

14.3 We may limit, including through technical measures, whether and how any Agent accesses, uses, or interacts with the Services.

14.4 Every Agent must:

1. identify itself as an Agent and disclose its name in every HTTP/HTTPS request by including Agent/[agent name] in the request's user-agent string;
2. not conceal or obfuscate that its access, use, or interactions come from an Agent, including by mimicking human behavior or interaction patterns, or by completing or circumventing CAPTCHAs or other measures designed to distinguish computers from humans;
3. respond truthfully to any question or prompt intended to determine whether interactions come from a human or a computer; and
4. not circumvent or avoid any measure intended to block, limit, modify, or control whether and how Agents access, use, or interact with the Services.

15. Termination

We may terminate these Terms or your access to all or part of the Services at any time, at our sole discretion and without notice. You will remain liable for all amounts owed up to and including the date of termination.

The following sections survive termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver and Entire Agreement, Assignment, Governing Law, Privacy, and any other provision that by its nature should survive.

16. Disclaimer of Warranties

The information presented on or through the Services is provided for general information purposes only. We do not warrant its accuracy, completeness, or usefulness. Any reliance you place on it is at your own risk, and we disclaim all liability arising from such reliance by you or anyone else.

EXCEPT AS EXPRESSLY STATED BY PUPPY HARBOR, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED OR OTHER WARRANTIES, SO THIS DISCLAIMER MAY NOT APPLY TO YOU.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PUPPY HARBOR, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCT OBTAINED THROUGH THEM, OR FROM ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICES OR ANY PRODUCT, INCLUDING ANY ERRORS OR OMISSIONS IN CONTENT OR ANY LOSS OR DAMAGE RESULTING FROM CONTENT OR PRODUCTS POSTED, TRANSMITTED, OR MADE AVAILABLE THROUGH THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

18. Indemnification

You agree to indemnify, defend, and hold harmless Puppy Harbor, Shopify, and our respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities, or claims, including reasonable attorneys' fees, owed to any third party as a result of (1) your breach of these Terms or the documents they incorporate by reference, (2) your violation of any law or the rights of a third party, or (3) your access to and use of the Services.

We will notify you of any claim subject to indemnification, though a delay in notice will not relieve you of your obligations unless you are materially prejudiced by it. We may control the defense and settlement of any such claim at your expense, including the choice of counsel, but we will not agree to any settlement that imposes non-monetary obligations on you without your consent (which you will not unreasonably withhold). You agree to cooperate in the defense of any indemnified claim, including by providing relevant documents.

19. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will still be enforced to the fullest extent permitted by law, and the unenforceable portion will be treated as severed. This will not affect the validity and enforceability of the remaining provisions.

20. Waiver; Entire Agreement

Our failure to exercise or enforce any right or provision of these Terms is not a waiver of that right or provision.

These Terms, together with any policies or operating rules we post on this site or in relation to the Services, form the entire agreement between you and us regarding your use of the Services. They supersede any prior or contemporaneous agreements, communications, or proposals, whether oral or written, including any earlier versions of these Terms.

Any ambiguity in these Terms will not be interpreted against the party that drafted them.

21. Assignment

You may not delegate, transfer, or assign these Terms or any of your rights or obligations under them without our prior written consent; any attempt to do so is void. We may transfer, assign, or delegate these Terms and our rights and obligations without your consent and without notice to you.

22. Governing Law

These Terms, and any separate agreement under which we provide you with Services, are governed by the laws of the jurisdiction in which Puppy Harbor is headquartered. You and Puppy Harbor agree to the venue and personal jurisdiction of the federal and state or territorial courts located in that jurisdiction.

We may update, change, or replace any part of these Terms at our sole discretion by posting updates to our website. It is your responsibility to check this page periodically.
